Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you and Charles Smith, an individual operating the KalosMedia service ("KalosMedia," "we," "us," or "our"). KalosMedia is currently operated by Charles Smith as an individual; if a formal business entity is later established to operate the service, these Terms will transfer to that entity and you will be notified as described in Section 16. By creating an account or otherwise using KalosMedia, you agree to these Terms. If you do not agree, do not use the service.

2. What KalosMedia Is

KalosMedia is a video storage and multi-platform publishing tool. It lets you upload video files, store them on our servers, and — where you choose to connect an account — publish or schedule that content to third-party platforms such as YouTube, and in the future TikTok, Twitter/X, and others as those integrations become available. KalosMedia also aggregates basic performance analytics (such as views, likes, comments, and shares) reported back by connected platforms.

3. Eligibility

You must be at least 18 years old to create an account or use KalosMedia. By using the service, you represent that you meet this requirement. We do not knowingly allow anyone under 18 to register an account, and we will terminate any account we learn belongs to someone under 18.

4. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at accounts@kalosmedia.com if you believe your account has been compromised. We verify email addresses at signup and may restrict access to certain features until verification is complete.

5. Your Content

You retain all ownership rights to the video files, titles, descriptions, and other content you upload ("Your Content"). By uploading Your Content, you grant KalosMedia a limited, non-exclusive license to store, process, and transmit Your Content solely as needed to operate the service — including, at your direction, transmitting it to the third-party platforms you connect to your account. We do not claim ownership of Your Content and do not use it for any purpose beyond providing the service to you.

You are solely responsible for Your Content and for having all necessary rights to upload, store, and publish it. You may not upload content that is illegal, infringes another party's intellectual property or other rights, contains malware, or violates the terms of service of any platform you connect through KalosMedia.

6. Connected Platform Accounts

When you connect a third-party platform (such as YouTube), you authorize KalosMedia to access that account on your behalf, using the permissions you grant during that platform's own authorization flow, strictly to upload and manage the content you direct us to publish and to retrieve basic analytics. Your use of any connected platform remains subject to that platform's own terms of service and policies. KalosMedia is not responsible for, and has no control over, actions taken by third-party platforms — including content removal, demonetization, or account suspension. You can revoke KalosMedia's access to a connected platform at any time, either from within KalosMedia or directly through that platform's own account settings.

7. Storage Limits and Service Changes

Non-admin accounts are currently subject to a 5GB total video storage limit. We may change this limit, and other features or limits of the service, at any time. We will make reasonable efforts to communicate material changes in advance, but KalosMedia is an actively developed, beta-stage product, and features, limits, and availability may change without extended notice.

8. Acceptable Use

You agree not to:

• Use KalosMedia for any unlawful purpose, or to upload or publish unlawful content;
• Attempt to gain unauthorized access to other accounts or to KalosMedia's systems;
• Interfere with or disrupt the service, including by circumventing rate limits or storage limits;
• Upload malicious code, or content that infringes another party's intellectual property rights;
• Use KalosMedia to spam, harass, or impersonate any person or entity.

We may suspend or terminate accounts that violate this section.

9. Beta Status; No Uptime Guarantee

KalosMedia is provided on an active-development, beta basis. We do not guarantee any specific level of uptime, availability, or data durability, though we take reasonable measures — including routine backups where feasible — to protect Your Content. You are encouraged to keep your own copies of any video files you upload.

10. Fees

KalosMedia is currently free to use. We may introduce paid plans or usage-based fees in the future. If we do, we will provide advance notice before any existing account is charged, and continued free usage will remain available or be clearly communicated at that time.

11. Termination

You may stop using KalosMedia and request deletion of your account at any time by emailing accounts@kalosmedia.com. We may suspend or terminate your access to KalosMedia, with or without notice, if we reasonably believe you have violated these Terms. Upon termination, your right to use the service ends immediately; Section 12 through 15 survive termination.

12. Disclaimers

KalosMedia is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, secure, or error-free.

13. Limitation of Liability

To the maximum extent permitted by law, KalosMedia and Charles Smith will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or goodwill, arising out of or related to your use of the service. Our total liability for any claim arising out of these Terms or your use of KalosMedia will not exceed the amount you paid us, if any, in the twelve months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless KalosMedia and Charles Smith from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from Your Content, your violation of these Terms, or your violation of any third-party platform's terms of service.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Mississippi, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or KalosMedia will be subject to the exclusive jurisdiction of the state and federal courts located in Mississippi.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date above and, where practical, notify account holders by email. Continued use of KalosMedia after a change takes effect constitutes acceptance of the updated Terms.
